Non Disclosure and Design Ownership Policy

1. Purpose

This policy sets out how Faurent Maison protects confidential information, secures design ownership, defines exclusivity, and prevents misuse of Faurent Maison work, unused concepts, archive concepts, suppliers, and production methods.

2. Definitions

Confidential Information includes all information shared by Faurent Maison or the client, including concepts, sketches, drawings, CAD, dielines, prototypes, samples, specifications, materials, finishes, quotations, costing, supplier information, production methods, and all communications.

Design Output means any creative work produced by Faurent Maison, including concepts, variations, drafts, artwork, packaging structures, patterns, and final files.

Unused Concepts means any concept directions, drafts, explorations, variations, alternates, rejected options, early stage ideas, proposals, and non selected deliverables presented or developed for the client that are not chosen for final production or final delivery.

Archive Designs means any concepts, structures, patterns, templates, packaging formats, dielines, layouts, and design directions created by Faurent Maison before the client engagement, or developed independently outside the client scope.

Paid Design Fee means a design fee that is paid and not refunded, credited, or offset into any production order.

Refunded Design Fee means a design fee that is refunded or credited into a bulk order upon confirmation of production.

Exclusivity means a written and paid arrangement that reserves specifically listed final deliverables for the client only, subject to scope, duration, and any stated limitations.

3. Non Disclosure

3.1 The client shall keep all Confidential Information strictly confidential.
3.2 The client shall not disclose, publish, forward, share, reproduce, or make available any Confidential Information to any third party without prior written consent from Faurent Maison.
3.3 The client shall not use Confidential Information to develop competing designs, seek replication, obtain alternative quotations, or brief other suppliers using Faurent Maison work.

4. Ownership of Designs and Intellectual Property

4.1 Unless expressly agreed in writing, all Design Output, Unused Concepts, and all rights in the Design Output remain the intellectual property of Faurent Maison.
4.2 The client receives a limited right to use the Design Output solely for the agreed project scope with Faurent Maison.
4.3 The client shall not copy, modify, adapt, reformat, recreate, reverse engineer, or commission similar work from third parties based on Faurent Maison Design Output, Unused Concepts, or Archive Designs.
4.4 Faurent Maison retains all rights to its proprietary methods, structures, templates, production systems, design language, and internal frameworks, whether or not visible in the final deliverables.
4.5 Faurent Maison reserves all rights not expressly granted to the client.

5. Exclusivity of Paid Designs

5.1 Where a Paid Design Fee is paid and exclusivity is expressly agreed in writing, the final agreed design deliverables listed in the written scope are exclusive to the client.
5.2 Exclusive designs shall not be reused, adapted, resold, or offered by Faurent Maison to other parties within the stated exclusivity scope.
5.3 Exclusivity applies only to the final deliverables stated in writing. For avoidance of doubt, exclusivity does not include Unused Concepts, drafts, variants, explorations, underlying methods, templates, Archive Designs, or any design language unless expressly stated and paid for.

6. Designs That Are Not Paid or Are Refunded Into Bulk Order

6.1 Where the design fee is not paid, or where the design fee is refunded or credited into the bulk order, all Design Output and Unused Concepts remain the property of Faurent Maison.
6.2 In such cases, Faurent Maison retains the right to reuse and readapt elements of the Design Output and Unused Concepts for future projects, including redevelopment and readaptation.
6.3 The client receives the right to proceed with production for the confirmed bulk order only through Faurent Maison supply and project management, subject to the agreed quotation and terms.
6.4 No assignment of intellectual property occurs unless expressly stated in writing by Faurent Maison.

7. Samples, Images, Website and Social Media Confidentiality

7.1 If the client requires the project to be exclusive and non disclosure, this must be confirmed in writing before sampling or production begins.
7.2 Upon written confirmation, Faurent Maison will not publish or showcase the client project in samples, photography, video, website content, marketing, or social media.
7.3 If the client does not request confidentiality in writing, the client grants Faurent Maison the right to use non sensitive project visuals for portfolio and marketing. Where feasible, Faurent Maison may anonymise brand details, but is not obliged to do so unless agreed.
7.4 Confidentiality preferences must be stated and approved in writing and may carry additional fees depending on scope.

8. Unused Concepts Are Always Faurent Maison Property

8.1 All Unused Concepts remain the exclusive property of Faurent Maison at all times.
8.2 Showing, presenting, emailing, or discussing Unused Concepts does not grant the client any ownership, exclusivity, or license to use them unless expressly agreed in writing.
8.3 The client shall not use Unused Concepts for any purpose, including briefing third parties, requesting similar designs, seeking alternative quotations, or producing any design that is identical, derived from, or substantially similar to the Unused Concepts.
8.4 Faurent Maison may reuse, adapt, refine, redevelop, or readapt Unused Concepts for other projects at its discretion.
8.5 If the client requests Unused Concepts to be reserved exclusively, this must be stated in writing and may require an exclusivity fee and defined exclusivity scope.

9. Client Materials and Brand Assets

9.1 The client retains ownership of its trademarks and brand assets supplied to Faurent Maison.
9.2 For avoidance of doubt, providing client brand assets does not grant the client any ownership, assignment, or license over Faurent Maison Design Output, Unused Concepts, Archive Designs, methods, structures, templates, or intellectual property.
9.3 The client grants Faurent Maison a limited right to use client materials strictly to deliver the project.
9.4 The client warrants that it owns or has permission to provide all brand assets and content supplied.

10. Breach and Remedies

10.1 Any breach of this policy may cause irreparable harm to Faurent Maison. Faurent Maison may seek urgent injunctive relief and immediate protective measures.
10.2 Faurent Maison may suspend work immediately upon suspected misuse, duplication, leakage, unauthorised supplier engagement, or attempted replication.
10.3 The client may be liable for losses, enforcement costs, and damages arising from unauthorised disclosure, misuse, copying, supplier circumvention, or third party reproduction.

11. Priority of Written Terms

Where a signed quotation, proposal, statement of work, NDA, license, or supply contract exists, those terms prevail in the event of conflict.

B. Design Release and Editable Files Policy

B1. No editable files by default: Source files including AI, PSD, CAD, dielines, vector masters, 3D working files, and production ready structural files are not included unless expressly stated.
B2. Release only with Paid Design Fee: Editable files will only be released if the client pays a Paid Design Fee that is not refunded or credited into any order.
B3. Separate document for file release: Where editable files are released, the client must sign a separate license or assignment document stating permitted use, restrictions, and confidentiality.
B4. No third party production use without consent: Even where files are released, the client shall not use them to manufacture with third parties unless Faurent Maison provides written approval.
B5. Right to withhold: Faurent Maison may withhold editable files where there is reasonable concern of copying, leakage, or supplier circumvention.

C. Supplier Protection and Non Circumvention

C1. Supplier details are confidential: All supplier identities, contacts, and pricing are Confidential Information and remain strictly protected.
C2. No direct engagement: The client shall not contact, negotiate with, or place orders directly or indirectly with any supplier, factory, or vendor introduced by Faurent Maison.
C3. No parallel sourcing: The client shall not use Faurent Maison Design Output, Unused Concepts, or Archive Designs to request quotations or production from alternative suppliers.
C4. Duration: These protections apply during the project and for a minimum of 12 to 24 months thereafter, unless otherwise stated in writing.
C5. Remedy: Any circumvention may result in immediate suspension, termination, and a claim for losses and enforcement costs.

D. Controlled Sharing, Watermarking and Preview Rules

D1. Watermarked previews: Unless and until sampling is approved, Faurent Maison may provide only watermarked, low resolution, or partial previews.
D2. Controlled distribution: The client shall limit access to design previews internally on a need to know basis only.
D3. No forwarding: The client shall not forward previews to third parties, including external consultants, wedding planners, procurement agents, or additional vendors, without written consent.
D4. Version control: Any shared files may include tracking identifiers or unique marks to trace leakage.

E. Design Fee Credit and Refund Structure

E1. Credit is not ownership: If a design fee is credited or refunded into a bulk order, this does not transfer intellectual property or exclusivity to the client.
E2. Faurent Maison retains ownership: In all credit or refund scenarios, Design Output and Unused Concepts remain the property of Faurent Maison.
E3. Production rights remain tied to Faurent Maison: The client may proceed with production under Faurent Maison supply and project management only.
E4. Optional exclusivity upgrade: If the client wants exclusive ownership or exclusive non disclosure rights beyond standard confidentiality, the client must purchase a Paid Design Fee and an exclusivity or confidentiality upgrade in writing.
E5. Clear documentation: All credits, refunds, and usage rights will be stated in the quotation or statement of work to prevent misunderstandings.

12. Policy Updates and Changes

12.1 Faurent Maison may update, amend, or revise this policy at any time to reflect operational, legal, or commercial requirements.
12.2 The latest version of this policy shall apply from the effective date of publication or written issuance by Faurent Maison.
12.3 Where a signed agreement states different terms, the signed agreement shall prevail for that project scope.

13. Faurent Maison Archive Designs and Pre Existing Works

13.1 Archive Designs remain the exclusive intellectual property of Faurent Maison at all times.
13.2 Showing Archive Designs to a client for reference, inspiration, or discussion does not grant any ownership, exclusivity, or license to the client unless expressly agreed in writing.
13.3 Faurent Maison may reuse, adapt, and redevelop Archive Designs for other clients and projects at its discretion.
13.4 If a client requests an Archive Design to be reserved exclusively, this must be stated in writing and may require an archive exclusivity fee and defined exclusivity scope.

14. No Lookalike Commissioning and No Derivative Briefing

14.1 The client shall not request, commission, instruct, or procure any third party to create designs that are identical, substantially similar, derived from, or inspired by Faurent Maison Design Output, Unused Concepts, or Archive Designs, whether by copying, redrawing, reverse engineering, or reproducing the overall look and feel.
14.2 The client shall not use Faurent Maison Design Output, previews, samples, concepts, specifications, or design direction to brief other suppliers for quotation or production.
14.3 For avoidance of doubt, it is a breach if the client uses Faurent Maison work as a reference to recreate a similar structure, packaging experience, monogram pattern, layout system, or design language through another party.

15. Scope of Exclusivity

15.1 Exclusivity, if granted, applies only to the final deliverables expressly listed in writing, and only after payment of the Paid Design Fee and any applicable exclusivity or confidentiality fee.
15.2 Exclusivity does not include Faurent Maison know how, methods, templates, internal systems, Archive Designs, Unused Concepts, or underlying design language unless expressly stated.
15.3 Faurent Maison may continue to use its design language, methods, structure systems, archive elements, and Unused Concepts across projects, provided that the client Confidential Information and client brand assets are not disclosed unless permitted.

16. Licensing, Assignment, and Ownership Transfer

16.1 The client receives no assignment of intellectual property unless Faurent Maison provides a written assignment signed by both parties.
16.2 Any assignment or exclusive license must specify scope, territory, duration, and permitted usage.
16.3 If the client requires full ownership transfer of a design, Faurent Maison may require a separate fee and separate legal document.

17. Reservation of Rights

17.1 Faurent Maison reserves all rights not expressly granted to the client.
17.2 Any permissions not granted in writing are deemed withheld.
